	Agreement: The undersigned ("You") agrees with E-Book Systems, Inc. ("E-Book") as follows ("Agreement"): 1. You accept appointment as a non-exclusive representative of E-Book to solicit orders only for the FlipAlbum® products ("Products") listed above. 2. This appointment may be terminated by either You or E-Book upon ten (10) days' prior written notice to the other party. Upon termination, You agree to immediately stop soliciting orders for the Products and to stop representing in any manner that You are associated with E-Book. 3. E-Book shall have the absolute right to set and change the prices, charges and terms governing the licensing of Products. E-Book will use reasonable efforts to provide notice of such changes to You prior to their taking effect. 4. E-Book will be solely responsible for determining the warranty, if any, of the Products. You are not authorized to make any warranty or representation with respect to a Product to any potential customer. 5. For each Product order received and accepted by E-Book via its toll-free telephone at 1-888-231-5575, its fax at 408-919-6677, its email at orders@ebooksys.com and its web site at www.flipfriends.com which references your individual Friends of FlipAlbum Program (FFP) Discount Code, E-Book will pay You the commissions described above, or as otherwise determined from time to time by E-Book with notice to You. 6. Your initial commission will only be payable if E-Book receives and accepts a minimum of two (2) orders with your FFP Discount Code, and where the second order is received within six (6) months of the first order. 7. Commissions are earned only upon receipt of payment in full by E-Book. Commissions will be payable on or before the fifteenth (15th) day of the month immediately following the calendar month during which payment is received. This is the only compensation to which You will be entitled under this Agreement. 8. E-Book will not withhold FICA (Social Security) from your payments, make state or federal unemployment insurance contributions on your behalf, withhold state and federal income tax from your payments, make disability insurance contributions on your behalf, or obtain workers' compensation insurance on your behalf. You acknowledge that You are not an employee of E-Book for any purpose and that You are not entitled to any benefits provided to employees of E-Book. E-Book is interested only in the results You obtain, and You will have sole control of the manner and means of performing under this Agreement. All expenses and disbursements that You may incur in connection with this Agreement shall be borne completely by You. You shall not hold yourself out as having any right, power, or authority to create any contract or obligation on behalf of, or binding upon, E-Book. 9. You agree that E-Book will not be liable for any lost profits or for any claims or demands against You. IN NO EVENT WILL E-BOOK BE LIABLE FOR SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES EVEN IF E-BOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. E-BOOK'S AGGREGATE LIABILITY TO YOU RELATING TO THIS RELATIONSHIP SHALL NOT EXCEED THE AMOUNT PAID TO YOU BY E-BOOK, REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, TORT OR OTHER CAUSE OF ACTION. 10. The parties agree that any suit to enforce any provision of this Agreement or arising out of or based upon this Agreement or the business relationship between the parties shall be brought in the United States District Court for the Northern District of California or the Superior or Municipal Court in and for the County of Santa Clara, California, U.S.A.
